[´ã´ç¾÷¹«] Working as part of the Transaction Solutions team on the following activities, with a particular focus on the Korean business and clients. • Advisory and delivery of TS risk solutions with existing Aon clients and prospects and prospects new to Aon. • Engagement of external distribution channels (accounting firms, lawyers, investment banks and private equity firms, multinational corporations, etc) and internal Aon client teams to build relationships and deliver TS risk solutions to clients and prospects. • Maintenance of relationships with the various TS risk solutions underwriters. • Regular attendance at external client meetings and seminars with a view to building relationships. • Preparation of presentation materials and collation of data and other collateral for business development and deal specific use. Warranty & Indemnity Insurance (W&I Insurance) is a specialized insurance product, whereby the insurer protects the buyer in an M&A transaction from the losses arising out of breaches of the seller¡¯s reps & warranties, as an alternative recourse to the traditional seller indemnity. W&I Insurance has become a critical element of M&A transaction in Korea over the past decade. We specialize in ¡°brokerage¡± of W&I Insurance; that is to say, we help the buyers, who have neither the time nor sufficient information/expertise/experience regarding W&I insurance to procure this product successfully on their own, to negotiate the optimal W&I insurance terms against the selling insurers. To that end, we are looking for an M&A-conversant lawyer to help us with: • Negotiating warranty and indemnity (W&I) insurance coverage with insurers, to protect the buyers in M&A transaction from breach of the seller¡¯s representations and warranties. • Reviewing buyside due diligence report, issue-spot under-diligenced issues, and propose ways to bolster diligence in relevant areas. • Explaining complex terms and conditions of W&I insurance policy to the buyers in M&A transaction. • When a breach of seller¡¯s reps & warranties take place on a transaction insured with W&I coverage, assisting the insured buyer with pursuing W&I insurance claims against the insurer. • Deliver educational presentations regarding W&I insurance to various market participants (deal parties both corporate and private equities, M&A advisories, law firms, etc.).
